YPF announces merger by absorption with GASA, parent company of Metrogas
Gas Argentino (GASA), parent company of Metrogas, the Argentina-based natural-gas distributor, and YPF, the Argentine state-owned oil company, today announced that their boards of directors have approved the merger by absorption of YPF Inversora Energetica (YPFIESA) and GASA, by YPF.
YPF as absorbing firm and YPFIESA and GASA as absorbed firms had signed a preliminary merger, effective from 1 January 2016, after getting approval from shareholders of the companies involved and from regulators.
Through this transaction, YPFIESA and GASA will be dissolved without being liquidated, GASA and YPF said in separate stock exchange announcements.
In 2Q13, YPF acquired 46,010,284 Class A shares of Gas Argentino (GASA), controling shareholder of Metrogas, from BG Inversiones Argentinas, representing 54.67% of the capital stock of GASA, as reported.
Metrogas is 70%-owned by GASA and has 20% listed on the Buenos Aires Stock Exchange. The remaining 10% stake is in an employee-ownership program.
